Terms of Use
Updated: September 2026
1. Who we are and what these terms cover
The LensX platform and the website at lensx.tech are operated by Gruther, a company incorporated under the laws of France, with its registered office at 19 boulevard Malesherbes, 75008 Paris, France.
LensX is a business-to-business platform. It connects an organization’s HR, finance, and operations records into a single deterministic data layer and lets authorized people reason over that layer with AI assistance. It is intended for use by organizations and by people acting on their behalf, and not for personal or household use.
These terms govern access to and use of the website and, where no separate agreement applies, of the platform. Where a customer has signed an order form, a subscription agreement, or another written agreement with us, that signed agreement governs the supply of the service, and prevails over these terms to the extent of any conflict. These terms then apply only to the extent they add something the signed agreement does not address.
By accessing the website or the platform you accept these terms. If you do not accept them, do not use the website or the platform.
2. Definitions
- “We”, “us”, “our”: Gruther.
- “Service”: the LensX platform, including any related documentation, support, and updates we make available.
- “Customer”: the organization that has contracted with us for the Service.
- “User”: an individual authorized by the Customer to access the Service under the Customer’s account.
- “Customer Data”: the records, files, and other content the Customer or its Users connect to, upload to, or generate within the Service.
- “Output”: the answers, analyses, summaries, and other material the Service produces in response to a request.
- “Order Form”: a signed document setting out the scope, duration, and fees for the Service.
3. Accounts and eligibility
Accounts are issued to a Customer and administered by it. By creating or using an account you confirm that you are at least 18 years old and that you are authorized to act on behalf of the organization you name.
The Customer is responsible for the acts and omissions of its Users, for keeping credentials confidential, for maintaining the accuracy of the account information it gives us, and for promptly deactivating access for people who should no longer have it. Tell us without delay at info@lensx.tech if you believe an account has been compromised.
4. The service
Subject to these terms and to payment of the applicable fees, we grant the Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its internal business purposes during the term set out in the applicable Order Form.
We may improve, modify, or discontinue features of the Service. Where a change would materially reduce the functionality a Customer has contracted for, we give reasonable notice, and the terms of the signed agreement apply.
The Service depends on the records the Customer connects. It is the Customer’s responsibility to decide which sources to connect and to ensure they are accurate and current.
5. Acceptable use
You must not, and must not permit anyone else to:
- use the Service or the website in breach of any applicable law or regulation;
- access, or attempt to access, any part of the Service, any account, or any data that you are not authorized to access;
- probe, scan, or test the vulnerability of the Service or circumvent any authentication or security measure, except under a testing arrangement we have agreed in writing;
- reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, models, or underlying structure, except to the extent this restriction is prohibited by applicable law;
- copy, resell, sublicense, or make the Service available to third parties as a service bureau, other than as expressly permitted in a signed agreement;
- interfere with the operation or integrity of the Service, including by introducing malicious code or by imposing an unreasonable load on the infrastructure;
- use the Service to store or process content that is unlawful, infringing, defamatory, or that the Customer has no right to process;
- use the Output to build a competing product, or to train a machine learning model intended to replicate the Service.
We may suspend access where use breaches this section and the breach presents a risk to the Service, to other customers, or to us. Section 14 sets out how suspension works.
6. Customer data
The Customer owns its Customer Data. Nothing in these terms transfers ownership of it to us.
The Customer grants us the rights in Customer Data that we need in order to host, process, transmit, index, and display it for the purpose of providing the Service to that Customer, and for no other purpose. We do not use Customer Data to train models, and we do not use one customer’s data to serve another.
The Customer warrants that it has the rights, permissions, and where required the consents or other lawful basis necessary for the Customer Data to be processed in the Service, and that connecting it does not infringe the rights of any third party or breach any obligation the Customer owes.
The Customer is responsible for configuring access within its workspace, including which people, teams, or departments may see which records.
7. AI features and output
The Service answers questions by reasoning over the Customer Data connected to it. Output is generated from those records and is traceable back to them, but it is generated automatically and can be incomplete or wrong, particularly where the underlying records are incomplete, inconsistent, or out of date.
Output must be reviewed before it is relied on. The Customer is responsible for deciding what weight to give it and for any decision it takes. Where a decision concerns an individual and the law requires human involvement, the Customer must provide that involvement.
Output is not legal, tax, accounting, financial, medical, or other professional advice, and must not be presented as such. Similar questions may produce different phrasing on different occasions.
8. Intellectual property
The Service, the website, and everything in them other than Customer Data, including the software, the data model, the interface, the text, the graphics, and the LensX name and marks, belong to Gruther or its licensors and are protected by intellectual property law. No rights are granted other than the right of access and use expressly set out in section 4.
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free right to use them to improve our products, without obligation or attribution. We will not identify you as their source without your agreement.
9. Fees
Fees, the billing period, the currency, and the payment terms are those set out in the applicable Order Form or signed agreement. Unless that document says otherwise, fees are exclusive of taxes and duties, which the Customer bears, and invoiced amounts are payable within the period stated on the invoice. We may suspend the Service for non-payment after giving notice and a reasonable opportunity to cure.
10. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party will use the other’s confidential information only for the purpose of the relationship between them, will protect it with at least the care it applies to its own confidential information, and will not disclose it except to personnel and advisers who need it and who are bound by equivalent obligations.
These obligations do not apply to information that is or becomes public without breach, that was already lawfully held, or that is independently developed. Where disclosure is required by law or by a competent authority, the disclosing party gives notice to the other where it is lawfully able to do so.
11. Data protection
Our handling of personal data is described in our Privacy Policy, and the operational detail of how we process customer records is set out in our Data Processing Practices.
Where the Service processes personal data on the Customer’s behalf, the Customer is the controller and we are the processor. We process that data on the Customer’s documented instructions, under the data protection terms that form part of the signed agreement.
12. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care and in accordance with the description in the applicable Order Form.
To the fullest extent permitted by applicable law, and except as expressly stated in these terms or in a signed agreement, the Service and the website are provided as they stand, and we exclude all other warranties, conditions, and representations, whether express or implied, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted or error free, or that Output will be accurate, complete, or fit for any particular decision. Nothing in this section limits a warranty that cannot be excluded under applicable law.
13. Limitation of liability
To the fullest extent permitted by applicable law, neither party is liable for indirect or consequential loss, nor for loss of profit, revenue, anticipated savings, business, goodwill, or opportunity, however arising.
To the fullest extent permitted by applicable law, each party’s total aggregate liability arising out of or in connection with these terms and the Service is limited to the fees paid or payable by the Customer for the Service in the twelve months preceding the event giving rise to the claim.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Where a signed agreement contains its own liability regime, that regime applies instead of this section.
14. Term, suspension, and termination
The term of a Customer’s subscription is set out in the applicable Order Form. These website terms apply for as long as you use the website.
We may suspend access, in whole or in part, where required by law, where continued access presents a security risk, where use materially breaches section 5, or for non-payment after notice. We limit the scope and duration of a suspension to what the circumstances require and restore access once the cause is resolved.
Either party may terminate for material breach that is not cured within thirty days of written notice, or where the other becomes insolvent or ceases to trade.
On termination, the right to use the Service ends. The Customer may export its Customer Data during the window set out in the signed agreement, after which the data is returned or deleted in accordance with that agreement and our Data Processing Practices. Sections that by their nature should survive termination, including sections 6, 8, 10, 12, 13, and 15, survive it.
15. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by French law, without regard to conflict of law rules.
The courts of Paris, France have exclusive jurisdiction, unless a signed agreement between the parties provides for a different forum or for arbitration, in which case that agreement applies. Nothing in this section deprives a consumer, where one is involved, of the protection of mandatory rules of the law of their habitual residence.
16. Changes to these terms
We may update these terms as the Service and the law develop. The date at the top of this page shows when the current version was published. Where a change materially affects a Customer’s rights, we give reasonable notice through the Service or by email, and the change takes effect from the date stated in that notice. Continuing to use the website or the Service after that date means the updated terms apply. A signed agreement is amended only as that agreement provides.
